Structure of Sunstate Entities
Sunstate Wealth Management, LLC is an SEC-registered investment adviser.
Sunstate Bank is a separate and distinct legal entity that provides banking and certain custodial or ancillary services.
Although both entities share common ownership under Sunstate Bancshares Inc., they:
- Operate independently
- Maintain separate supervisory structures
- Do not guarantee, insure, or supervise each other’s services
- Do not share responsibility for investment advisory activities
Investment advisory services are not offered by Sunstate Bank, are not FDIC insured, and are not deposits or obligations of the Bank.
Advisory Services, Sub-Advisers, and Custody
Sunstate provides investment advisory services directly and, for certain accounts and strategies, through unaffiliated third-party investment advisers engaged as sub-advisers.
Sunstate has entered into a sub-advisory relationship with BCP Advisors LLC (doing business as Vestiva), an investment adviser registered with the U.S. Securities and Exchange Commission. In these arrangements, discretionary portfolio management is performed by the sub-adviser. Sunstate remains the primary client-facing investment adviser, retains fiduciary responsibility for the advisory relationship, and conducts ongoing oversight of the sub-adviser’s services.
Client assets are held with qualified custodians, which may include Sunstate Bank or unaffiliated custodians such as Interactive Brokers LLC, depending on the advisory program and investment strategy selected. Custodial, execution, and margin practices may differ between custodians. Sunstate does not control the execution systems, margin policies, or operational practices of unaffiliated custodians.
Wrap Fee Program
Sunstate offers a Wrap Fee Program that provides investment advisory services, trade execution, and certain custodial services for a single asset-based fee.
Depending on the level of trading activity and services utilized, the total cost of the Wrap Fee Program may be higher or lower than paying for advisory, brokerage, and custodial services separately.

Securities-Based Lending & Margin Disclosures
Certain accounts, particularly those held at unaffiliated custodians, may have access to margin or securities-based lending arrangements. These programs involve material risks, including:

- Maintenance or margin calls requiring additional collateral
- Amplified market losses
- Interest rate risk
- Potential tax consequences
Clients should review all applicable agreements and disclosures carefully before utilizing these features.
Promoters and Solicitation Arrangements
Sunstate Wealth Management, LLC compensates certain promoters and solicitors for referring clients to the firm. These individuals are independent third parties and are not employees, agents, or representatives of Sunstate.
Promoters and solicitors are not authorized to provide investment advice, make investment recommendations, or act on behalf of Sunstate Wealth Management, LLC. Any investment advice is provided solely by authorized representatives of Sunstate pursuant to an advisory agreement.
Clients referred by a promoter will receive additional disclosures regarding the nature of the relationship and compensation in accordance with applicable regulations.

Sunstate’s affiliation with Sunstate Bank and its use of sub-advisers and third-party service providers create potential conflicts of interest.
Sunstate addresses these conflicts through disclosure, supervisory oversight, and its fiduciary obligation to act in the best interests of clients.
Clients are not obligated to use any affiliated or third-party service provider.

Clients are encouraged to consult with qualified tax, legal, and financial advisors before acting on any information.

Privacy Policy (Regulation S-P)
Sunstate Wealth Management, LLC (“Sunstate”) is committed to protecting the confidentiality and security of our clients’ nonpublic personal information. In accordance with Regulation S-P, we maintain administrative, technical, and physical safeguards designed to:
- Protect the security and confidentiality of client information
- Defend against anticipated threats or hazards to such information
- Prevent unauthorized access, use, or disclosure
Sunstate collects and maintains information necessary to provide investment advisory services. This information may be obtained from clients, account documentation, and transactions.
Sunstate does not disclose nonpublic personal information to nonaffiliated third parties except as permitted or required by law, including:
- Service providers that assist in delivering advisory, custodial, or administrative services
- Custodians and financial institutions designated by the client
- Regulatory authorities, law enforcement, or other parties as required by law

Identity Theft Prevention (Regulation S-ID)
Sunstate Wealth Management, LLC maintains a written Identity Theft Prevention Program designed to detect, prevent, and mitigate identity theft in connection with covered accounts, in accordance with Regulation S-ID.
The program includes:
- Identification of relevant identity theft “red flags”
- Procedures for detecting red flags in connection with account opening and ongoing account activity
- Response and mitigation procedures when red flags are identified
- Employee training and oversight
- Periodic review and updates to the program
Sunstate monitors account activity and implements appropriate verification and authentication procedures to reduce the risk of unauthorized access and identity theft.
Business Continuity & Information Security
Sunstate Wealth Management, LLC maintains a Business Continuity Plan (“BCP”) designed to support the continuation of critical operations in the event of a business disruption, including natural disasters, technology failures, or other unforeseen events.
The BCP includes procedures relating to:

Alternate business locations and remote capabilities, where

Coordination with custodians and third-party service providers
Sunstate also maintains information security policies and controls designed to protect firm systems and client information from unauthorized access, cybersecurity threats, and data loss. These controls include access restrictions, monitoring, and periodic risk assessments.
While Sunstate seeks to maintain effective business continuity and information security measures, no system can eliminate all risks associated with business disruptions or cybersecurity events.
